2. The Defendant is a private limited company engaged in the business of software development and has, at all material times, been contractually bound to the Plaintiff under the Master Services Agreement dated 14 March 2025.

3. The cause of action for the present suit arose on 11 February 2026 when the Defendant communicated its refusal to perform the services set out in Statement of Work No. 4, and continues from day to day thereafter.
